1. Introduction 

These FanYield Beta Terms of Use ("Terms"), and where applicable, the Supplementary Terms as defined below, form a binding agreement between users ("User" or "You") and FanYield s.r.o., ID No.: 21484732, with its registered office at Žižkova 346, Švermov, 273 09 Kladno, Czech Republic, registered in the Commercial Register kept by the Regional Court in České Budějovice under file no. C 34161 ("FanYield" or "We") for the use of the sports entertainment platform available through the FanYield web application ("FanYield Website" or "Website") at https://fanyield.io/ (including any successor URLs).

Please read these Terms carefully. By accessing or using the Website, you confirm that you accept and agree to be bound by these Terms, as well as any applicable Supplementary Terms. These collectively form a legally binding agreement between You (or any involved party such as your authorized successors, assigns, and beneficiaries) and FanYield ("Agreement"), which, unless otherwise stated herein or prior to execution, is valid for the duration of the operation of the FanYield Website. This Agreement constitutes the entire agreement and takes precedence over any prior or concurrent agreements or understandings regarding its subject matter. If any provision of the Agreement is deemed invalid or unenforceable, it will not affect the validity and enforceability of the remaining provisions.

All capitalized terms used in these Terms (including their plural forms) have the meaning assigned herein.

FanYield is a sports entertainment platform where Users collect digital cards featuring professional athletes ("Collectibles"), which are issued in limited quantities. Users may access fantasy sports games, trade Collectibles, and earn rewards. The Website provides a marketplace for registered Users to acquire, hold, and exchange Collectibles (collectively "Services") through the Website.

All personal data of Users is stored and processed in accordance with our Privacy Policy. Depending on how Users interact with the Website, additional terms may apply ("Supplementary Terms"), including:

• FanYield Marketplace Terms, if you submit a sales order or make an offer to purchase Collectibles;
• Fantasy Rules (defined in the "Fantasy Tournaments" section below), if you participate in fantasy tournaments;
• Brand Guidelines, if you use any FanYield trademarks or branding.

FanYield has created a Help Center on the Website, where Users can find guides and informative articles ("Help Center"). These materials are for informational purposes only and are not legally binding. You are encouraged to review them or contact us through the Help Center for any questions.

2. Account

2.1. Creating an Account 

FanYield is free to use. To register an account, you must provide:

• First name;
• Last name;
• Email address. Alternatively, you may register using your Google account.

By creating a user account, you agree to these Terms and represent and warrant that: (i) You are seventeen (17) years of age or older; (ii) You agree to these Terms; (iii) You will use the Website and/or Services in compliance with these Terms and all applicable laws, regulations, and rules; (iv) You are not located in a country subject to European Union and/or UN sanctions or listed on any EU or UN restricted party lists (including the EU consolidated list of persons subject to financial sanctions). For clarity, you must not attempt to access or use the Website and/or Services from such a country or if listed.

2.2. Account Usage 

The Website, user accounts, and Services are for individual, non-commercial, personal use only. You must not register on behalf of another person or act in coordination with others or entities.

2.3. Username 

When creating an account, you will be assigned a username associated with your purchases and Fantasy activity.

2.4. Account Security

2.4.1. Do not share your account information with third parties and follow best security practices such as:

• Choosing a strong password,
• Using a password manager,
• Storing your credentials securely. We are not responsible for any loss or theft of your password or account data. You are responsible for safeguarding your login credentials and for any actions taken under your account, even without your consent.

2.4.2. You agree to report any suspected theft of your information, login credentials, or password, or any unauthorized account access, to our support team at [email protected] as soon as possible.

2.5. Prohibited Account Use

2.5.1. Multiple Accounts 

You may not create more than one account or manage accounts on behalf of other Users (even with their consent). Only natural persons may open accounts—partnerships, joint ventures, and business accounts are prohibited.

2.5.2. Account Association 

You may not act in collusion or association with other accounts, formally or informally, to circumvent these Terms; create unfair advantages in Fantasy; or artificially influence the value of Collectibles, including directing others’ activities, lending, trading, buying, reselling, or selling below market value.

2.5.3. Re-registering 

You may not create a new account if your previous account was suspended or permanently deleted.

3. FanBux

3.1. FanBux 

“FanBux” is the official currency of the FanYield Services and may be used to acquire content like IPO Packs or to buy Collectibles on the FanYield Marketplace. FanBux do not represent real currency, do not earn interest, and cannot be exchanged for fiat. FanYield has no obligation to redeem FanBux for any value.

3.2. Limited License to Use FanBux 

FanBux provide only a limited, non-transferable, revocable license for: (i) Use in connection with the Services; (ii) For personal entertainment purposes; (iii) In ways permitted by FanYield.

Your license may be revoked if: (i) You breach FanYield’s Terms; (ii) Your account is suspended or terminated; (iii) These Terms or Services are terminated.

3.3. Earning and Using FanBux 

FanBux may be acquired by: (i) Purchasing from FanYield; (ii) Exchanging Collectibles with other Users; (iii) Rewards for participating in Fantasy tournaments.

You may only use or distribute FanBux via approved FanYield methods. Unauthorized use may result in invalid transactions and immediate suspension or termination. FanYield does not recognize or support third-party services that enable FanBux trading or sale. Transfer of accounts for purposes of selling Collectibles may be permitted by written agreement, but not FanBux resale outside Services. Only legal adults may purchase FanBux or engage in real-money transactions.

3.4. FanBux Are Non-Refundable 

Except where legally required, all FanBux purchases are final and non-refundable.

FanYield may change FanBux policy at any time, including limits and pricing. All rights to FanBux remain with FanYield, including the right to revoke or change your license without notice. No warranties or guarantees are made regarding availability or value of FanBux.

4. Services

4.1. Grant of License 

Upon your acceptance of these Terms and any applicable Supplementary Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable personal license to use the Services for personal, non-commercial purposes in accordance with these Terms and any applicable Supplementary Terms. The license is valid only for the operational period of the FanYield Website.

5. Collectibles

5.1. Collectibles 

Collectibles are unique digital trading cards featuring professional athletes, issued by FanYield s.r.o. ("IPO Pool"). FanYield ensures scarcity and transparency of these Collectibles within the Services.

5.2. Rarity 

Collectibles come in varying levels of rarity, specific to each football league:

• Czech League: Max 20,000 shares per Collectible.
• EURO U21 2025: Max 20,000 shares per Collectible.
• English Premier League: Max 20,000 shares per Collectible. Rarity is guaranteed by the IPO Pool.

5.3. Value 

Collectibles are digital equivalents of physical sports trading cards. They are not sold as investments or with the expectation of future value, although they may be resold on the FanYield Marketplace.

5.4. IPO Pool Rewards 

FanYield may reward Collectible owners by transferring FanBux to their balance based on actual player performance (“Rewards”). Rewards are not guaranteed and may vary based on the size of the IPO Pool.

5.5. Reward Settlement 

Rewards are credited in FanBux within 24 hours after the end of a Fantasy Tournament. If there is a delay in receiving data from third parties, Rewards will be credited by 4:00 a.m. the next business day after the data is received.

5.6. Reward Amount 

The Reward amount is based on the FanBux allocation per Fantasy Tournament.

5.7. Ownership 

When you purchase a Collectible, you become its legal owner under these Terms (“Collectible Owner”). Unless explicitly stated otherwise, you may freely trade or use your Collectible in Fantasy Tournaments.

5.8. Third-Party Elements of Collectibles 

Images of players, team logos (including trademarks and jerseys), and other elements appearing on or in the Collectibles may be officially licensed from third-party rights holders (“Third-Party Elements”).

5.9. License Restrictions 

Without FanYield’s prior written consent, you may not (and may not attempt to): (i) Use Collectibles or their Third-Party Elements for commercial purposes or to promote third-party products/services; (ii) Trade any goods or derivatives representing Collectibles physically or digitally; (iii) Modify any image or Third-Party Elements of a Collectible; (iv) Claim additional intellectual property rights in the Collectible or its Third-Party Elements; (v) Infringe on any third-party rights; (vi) Use Third-Party Elements in hateful, violent, defamatory, or otherwise inappropriate media; (vii) Trade or profit from goods that contain or consist of Third-Party Elements without proper authorization.

6. Collectible Release 

Upon initial issuance of Collectibles, Users choose one Collectible from three options (“IPO Choices”). IPO Choices may grant different numbers of Collectibles.

Multiple IPO Choices may be grouped in one item (“IPO Pack”). To begin, the User must first obtain an IPO Pack, which contains varying quantities of Collectible shares and IPO Choice series.

Example: A “Premium” IPO Pack may include three IPO Choices, each granting the User one share of the selected Collectible.

6.1. Payment for IPO Packs 

When a User purchases an IPO Pack through the Website, the price is deducted from their FanBux balance or paid via cashless transfer through Stripe.

6.2. Service Interruptions 

If a Service disruption or technical issue (beyond our reasonable control) prevents the User from opening an IPO Pack, any denied IPO Choices will be granted once the issue is resolved.

7. IPO Pool 

Whenever a user acquires IPO Packs, the proceeds are transferred to a designated bank account (“IPO Pool Bank Account”).

8. Collectible Exchange

8.1. Via the FanYield Marketplace (see Section 9 below) 

You may sell your Collectibles to other Users or purchase them from others by placing orders on the FanYield Marketplace. FanYield reserves the right, at its sole discretion, to limit your access to the Marketplace (including, but not limited to, the ability to trade Collectibles). Use of the FanYield Marketplace is subject to the FanYield Marketplace Rules outlined in Section 9.

8.2. Disclaimer of Liability 

To the fullest extent permitted by applicable law, FanYield and its representatives, officers, consultants, suppliers, shareholders, employees, successors, directors, partners, affiliates, vendors, and licensors are not liable for any losses or damages arising from the sale or exchange of Collectibles via the FanYield Marketplace.

9. Marketplace

9.1. Marketplace Overview 

FanYield acts as an intermediary connecting buyers and sellers of Collectibles through a marketplace (“FanYield Marketplace”), which operates based on supply and demand. Market activity may be supported by liquidity providers. FanYield does not use trading algorithms or any mechanisms to manipulate prices or affect the value of Collectibles traded on the platform. Once Collectibles are purchased from the IPO Pool and held by Users, their value is determined solely by market activity. FanYield does not engage in market manipulation or price interference. The platform provides a fair and transparent trading environment.

9.1.1. The FanYield Marketplace is a platform provided by FanYield that enables Users to buy, sell, and place orders for Collectibles using a FanBux-based order system.

9.1.2. The FanYield Marketplace operates as a peer-to-peer exchange where Users can directly trade Collectibles. FanYield acts solely as an intermediary and bears no responsibility for transactions executed on the Marketplace.

9.1.3. The value of Collectibles traded on the Marketplace is determined exclusively by supply and demand. Users are responsible for their own decisions and actions when buying, selling, and placing orders on the Marketplace.

9.1.4. FanYield is not liable for any disputes, disagreements, or issues arising from transactions on the Marketplace. Users are encouraged to exercise caution and sound judgment when trading.

9.1.5. The Marketplace may experience technical difficulties such as server outages or delays that could hinder successful trades. FanYield is not responsible for such issues, and Users are responsible for ensuring their devices and internet connection are functioning properly before trading.

9.1.6. FanYield is not liable for errors, bugs, or fund losses caused by the order system on the platform. Users acknowledge and agree that they use the Marketplace at their own risk, and FanYield shall not be held responsible for any problems, including technical errors, bugs, or order system failures.

9.5. Marketplace Trading Hours 

Trading hours are from 4:00 a.m. to 3:00 a.m. (CET), active 7 days a week (Monday to Sunday). FanYield reserves the right to modify or update trading hours at its sole discretion.

9.6. First Trading Day 

The initial trading day is January 1, 2025.

10. Payments

10.1. Payments are only possible for purchasing IPO Packs and FanBux.

11. Fantasy Tournaments

11.1. You can test your sports knowledge by assembling teams from your Collectibles and entering them into virtual tournaments. These tournaments track the real-life performance of the athletes represented by your selected Collectibles (“Fantasy”).

11.2. Participation in Fantasy is governed by the Fantasy Tournament Rules (“Fantasy Rules”).

11.3.1. Fantasy Gameplay Basics 

FanYield Fantasy consists of tournaments based on real-life football performance (“Tournaments”). Tournaments are accessible from a designated section of the Website at fanyield.io/squads (“Lobby”). All Fantasy tournaments are free to play, and no entry fee is required. The goal is to build the highest-scoring team of Collectibles representing professional players (“Lineup”) and compete with other Users.

Each Lineup must include 3 to 11 different Collectibles. The required number for each tournament is listed in the Special Tournament Rules (see below). FanYield may determine the number and frequency of tournaments at its discretion. Points are awarded based on real-life performance. The User with the highest point total at the end of the tournament wins. Winners and top participants may receive prizes, as detailed in the Lobby.

11.3.2. Special Tournament Rules 

Each tournament may have unique rules, such as:

• Custom formations;
• Position-based Collectible limits;
• Specific Fantasy rewards;
• Custom prize distribution;
• Maximum number of Lineups per User.

11.4. Eligibility 

To participate in Fantasy, you must have a valid FanYield account. Participation is prohibited if it violates these Terms.

11.4.1. Eligible Collectibles 

To enter a tournament, your Lineup must consist of Collectibles issued from the IPO Pool.

11.4.2. Entry Window 

To enter a tournament, Users must lock in their Lineup before the start of the tournament’s final match. The time from tournament announcement to the final match is the “Entry Window.”

11.5. Scoring and Winning

11.5.1. Scoring System 

Points are awarded to each Collectible in the Lineup based on third-party data on player performance during the tournament. Full details are available in the Help Center.

11.5.2. Winner 

The winner is the User whose Lineup earns the most points. Other top-ranked Lineups may also receive rewards. Winners are notified via their User account, and usernames will be displayed on the Website.

11.5.3. Tie-Breaker 

Unless otherwise specified, in the case of a tie, the User with the highest-scoring Collectible ranks higher. If tied again, the User who submitted their Lineup first ranks higher.

11.5.4. Delayed Scoring 

Due to factors outside of FanYield’s control, player statistics may not be available in real-time. If full data is not received before tournament scoring closes, only partial data will be considered. See the Help Center for more details.

11.6. Fantasy Rewards

11.6.1. Available Rewards 

Prizes will be announced during the Entry Window. Rewards may include FanBux, partner vouchers, physical items, or digital goods. After eligibility is confirmed and all rules are met, prizes will be distributed per the Fantasy Rules. FanYield may contact you by email to coordinate delivery.

11.6.1.1. Credits 

Credits are FanBux added to your balance when winning or ranking in a tournament. They can be used to purchase IPO Packs or Collectibles on the Marketplace from January 1, 2025.

11.7. Disqualification and Fraud 

FanYield reserves the right to disqualify any User who violates the Fantasy Rules, these Terms, or any applicable Supplementary Terms. Any such violation may result in immediate disqualification and additional restrictions, as outlined in the Terms.

12. Your Information, Content, and Feedback

12.1. Your Information 

Please keep your account information up to date. FanYield may request additional information to comply with legal or regulatory obligations. If needed, we will contact you via your account or email.

12.2. Your Content 

By using the Services, you grant FanYield a transferable, sublicensable, royalty-free, unrestricted license to use, copy, distribute, adapt, derive, reproduce, publicly share, modify, translate, and otherwise exploit any content you create on the platform (e.g., usernames, comments, Lineups, team names) (“Content”), on the Website, social media (e.g., TikTok, Facebook, X, Instagram, Reddit), YouTube, banners, emails, newsletters, or internal materials for commercial or promotional purposes.

12.3. Your Feedback 

Users may provide feedback or reviews via social media or email ([email protected]). By doing so, you agree that FanYield may publish and use the feedback or review without restriction on the Website, social platforms, or other media of its choice.

13. FanYield Content

13.1. Proprietary Content 

The Website and Services, including all proprietary content, data, designs, logos, text, graphics, icons, software, algorithms, and scripts, are the property of FanYield (“Proprietary Content”).

13.2. Nothing in these Terms grants any ownership, license, patent, or other right to the Proprietary Content. You may not download, copy, imitate, use, distribute, publish, or commercialize any Proprietary Content, in whole or in part, without FanYield’s prior written consent. You may not use Proprietary Content to promote third-party products or services without FanYield’s written permission. You also agree not to register or use FanYield trademarks, logos, or potentially misleading elements in any jurisdiction without prior consent.

13.3. Purchasing a Collectible does not grant any rights to Proprietary Content, Third-Party Elements, source code, data, or any FanYield and/or third-party intellectual property connected to the Services.

14. Modification, Suspension, or Termination of Services

14.1. We reserve the right to modify, suspend, or terminate, temporarily or permanently, any part or all of the Services, products, offers, promotions, and/or features of the Website or Services, or to introduce new features and/or Services. Modifications may occur for various reasons, including (but not limited to):

• Improving the Website or Services (e.g., offering new, modified, or updated Services);
• Technical necessity;
• Changes in user numbers;
• Operational, legal, regulatory, IP, or licensing requirements;
• Enhancing user or third-party safety.

14.2. To the fullest extent permitted by applicable law, Users agree that any such modification, suspension, or termination may occur without prior notice and that FanYield will not be liable for any resulting consequences.

14.4. Inactive Accounts 

We reserve the right, upon reasonable prior written notice, to delete any user account that has been inactive for more than six (6) months.

14.5. Beta Testing 

If a beta feature, product, or offer (“Beta Testing”) is available, we reserve the right to modify, suspend, or terminate such Beta Testing at our sole discretion without liability to you.

15. Prohibited Use of the Website and Services

15.1. FanYield aims to provide an enjoyable and safe experience. You must not:

• Create misleading or deceptive materials;
• Publish obscene, offensive, threatening, or defamatory content;
• Gain unauthorized access to other accounts or networks;
• Impersonate FanYield staff;
• Engage in manipulative or fraudulent behavior;
• Perform suspicious or harmful transactions.

15.2. Additionally, you must not:

• Access restricted parts of the Website;
• Disrupt or interfere with other Users or the Services;
• Use automated tools (bots, spiders, scrapers);
• Collect data in violation of these Terms;
• Send spam or malware;
• Probe or breach security;
• Reverse engineer or modify the Website or Services;
• Commercialize FanYield content or products;
• Violate applicable laws or regulations;
• Remove copyright or trademark notices;
• Use the Website or Services for unlawful activities, including money laundering.

16. Unusual Activity and Violations

16.1. Unusual Activity

16.1.1. Reporting 

You are encouraged to report fraudulent or illegal activity by other Users to [email protected]. Reports will remain confidential unless disclosure is required by law.

16.1.2. Investigation 

FanYield may investigate suspicious accounts, restrict access, or temporarily suspend accounts under investigation, including based on user reports.

16.2. You must not use the Website, Services, or your account in violation of these Terms. FanYield may restrict, suspend, or terminate accounts for suspected or confirmed violations.

16.2.1. Service Restrictions

16.2.1.1. Team Ineligibility 

We may temporarily remove you from teams or tournaments if you violate these Terms. Prizes may be withheld.

16.2.2. Account Suspension 

We may suspend accounts temporarily or permanently for suspected or actual violations.

16.3. Appeals Process 

If action is taken against you, you may contact us at [email protected] with your name, username, email, issue details, and reason for objection. We will review and respond promptly.

16.4. Consent 

You agree that FanYield is not liable for any consequences of access denial or suspension. To the fullest extent permitted by law, you waive any claims against FanYield and its affiliates related to such decisions.

17. Indemnification

17.1. To the fullest extent allowed by law, you agree to indemnify and hold harmless FanYield and its affiliates from any claims, damages, penalties, costs (including legal fees) arising from:

• Violation of these Terms;
• Violation of Fantasy Rules;
• Misuse of Services;
• Infringement of third-party rights;
• Violation of laws or regulations;
• Gross negligence or misconduct.

17.2. You acknowledge that FanYield has no obligation to indemnify you for any damages related to your use of the Website or Services.

18. Liability

18.1. General 

To the fullest extent permitted by law, FanYield disclaims all liability related to the Website and Services. We are not responsible for:

• User reliance on information on the Website or social media;
• Loss of user content, data, or Collectibles;
• Market-related risks or price volatility;
• Direct or indirect damages from use of Services;
• Third-party technologies;
• Cyberattacks or malware;
• Force majeure events.

18.2. You acknowledge the risks of using internet-based services and digital Collectibles, and you agree that FanYield is not liable for failures in such technologies or security breaches.

19. Assumption of Risk and Disclaimer 

To the fullest extent permitted by law, your use of the Website and Services is at your own risk. FanYield disclaims all warranties and liability. We do not guarantee: (A) That Services will meet your expectations; (B) That Services will be uninterrupted or error-free; (C) Accuracy of results from the Services; (D) Quality of any content or goods.

You acknowledge: 

19.1. Digital asset values may be volatile and decline to zero. There are no guarantees of resale value or liquidity.

19.2. Collectibles are recorded in a database and do not exist as standalone tokens. All transfers occur within the FanYield Marketplace.

19.3. Internet connectivity and third-party service reliability may impact your experience. FanYield is not liable for outages, delays, or external service issues.

20. Account Cancellation and Termination

20.1.1. You may terminate the Agreement by requesting account deletion and ceasing use of the Services.

20.1.2. Deleting your account will result in irreversible loss of all associated data.

21. Modification of Terms

21.1. We reserve the right to amend these Terms at any time. If material changes are made, we will notify you through an appropriate channel (e.g., email). If you do not agree, you may request account deletion and discontinue use. Continued use implies acceptance.

21.2. The latest version published on the Website is the valid version of the Terms.
